Security Services Agreement

1. Scope of Services

  1. Description of services (e.g., manned guarding, CCTV monitoring, risk assessments).
  2. Service hours, locations, and personnel assigned.
  3. Exclusions (e.g., services outside agreed scope).

2. Client Responsibilities

  1. Provide accurate site information, access credentials, and safety protocols.
  2. Comply with applicable laws (e.g., data privacy, labor regulations).
  3. Notify the company of changes affecting service delivery.

3. Payment Terms

  1. Fees, invoicing schedule, and payment due dates.
  2. Late payment penalties (e.g., 2% monthly interest).
  3. Reimbursement for pre-approved expenses (e.g., equipment).

4. Liability & Insurance

  1. Limitation of Liability: Company not liable for indirect/consequential damages.
  2. Maximum liability capped at fees paid in the last 6 months.
  3. Insurance: Company maintains general liability, workers’ compensation, and professional indemnity insurance.

5. Termination

  1. Termination for Cause: Breach of contract, non-payment, or illegal activities.
  2. Termination for Convenience: 30–60 days written notice.
  3. Obligations post-termination: (e.g., return of equipment).

6. Confidentiality

  1. Both parties agree to protect confidential information (e.g., security protocols, client data).
  2. Exceptions for legally mandated disclosures.

7. Force Majeure

  1. Neither party liable for delays/failures due to events beyond control (e.g., natural disasters, pandemics, strikes).

8. Dispute Resolution

  1. Mediation/arbitration before litigation.

9. Miscellaneous

  1. Subcontracting: Company may assign tasks to subcontractors.
  2. Amendments: Changes require written agreement.
  3. Entire Agreement: Supersedes prior agreements.
