Security Services Agreement
1. Scope of Services
- Description of services (e.g., manned guarding, CCTV monitoring, risk assessments).
- Service hours, locations, and personnel assigned.
- Exclusions (e.g., services outside agreed scope).
2. Client Responsibilities
- Provide accurate site information, access credentials, and safety protocols.
- Comply with applicable laws (e.g., data privacy, labor regulations).
- Notify the company of changes affecting service delivery.
3. Payment Terms
- Fees, invoicing schedule, and payment due dates.
- Late payment penalties (e.g., 2% monthly interest).
- Reimbursement for pre-approved expenses (e.g., equipment).
4. Liability & Insurance
- Limitation of Liability: Company not liable for indirect/consequential damages.
- Maximum liability capped at fees paid in the last 6 months.
- Insurance: Company maintains general liability, workers’ compensation, and professional indemnity insurance.
5. Termination
- Termination for Cause: Breach of contract, non-payment, or illegal activities.
- Termination for Convenience: 30–60 days written notice.
- Obligations post-termination: (e.g., return of equipment).
6. Confidentiality
- Both parties agree to protect confidential information (e.g., security protocols, client data).
- Exceptions for legally mandated disclosures.
7. Force Majeure
- Neither party liable for delays/failures due to events beyond control (e.g., natural disasters, pandemics, strikes).
8. Dispute Resolution
- Mediation/arbitration before litigation.

9. Miscellaneous
- Subcontracting: Company may assign tasks to subcontractors.
- Amendments: Changes require written agreement.
- Entire Agreement: Supersedes prior agreements.
